Terms of Service

1. Acceptance of Terms

By accessing and using Ruby Growth Labs, LLC ("Company", "we", "us", or "our") services, you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Ruby Growth Labs provides fractional CTO services, technology consulting, mobile app development, web platform development, and strategic technology guidance ("Services"). Our services include but are not limited to:

• Fractional CTO leadership and strategic guidance
• Technology roadmap development and assessment
• Mobile application development (iOS and Android)
• Web platform development and optimization
• Growth technology strategy and implementation
• Team coordination and technical leadership

3. Service Engagement

Services are provided on a project basis or ongoing fractional arrangement as agreed upon in separate statements of work or service agreements. All projects require written agreement on scope, timeline, and compensation before commencement.

4. Client Responsibilities

Clients agree to:

• Provide accurate information and requirements
• Respond promptly to requests for feedback and approvals
• Make timely payments according to agreed terms
• Provide necessary access to systems and resources
• Respect intellectual property rights and confidentiality

5. Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise agreed:

• Invoices are due within 30 days of receipt
• Late payments may incur interest charges
• Services may be suspended for non-payment
• All fees are non-refundable except where specifically guaranteed

6. Intellectual Property

Upon full payment, clients retain ownership of custom work product created specifically for their project. Ruby Growth Labs retains rights to general methodologies, frameworks, and knowledge gained during engagements. Pre-existing intellectual property remains with respective owners.

7. Confidentiality

We maintain strict confidentiality regarding client information and business matters. Mutual non-disclosure agreements may be executed for sensitive projects. We do not share client information except as required by law or with explicit written consent.

8. Limitation of Liability

Ruby Growth Labs' liability is limited to the total amount paid for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages. Services are provided "as is" without warranty except where specifically guaranteed.

9. Termination

Either party may terminate services with written notice. Upon termination, payment is due for all work completed. Confidentiality obligations survive termination. Specific termination terms may be outlined in individual project agreements.

10. Governing Law

These Terms are governed by the laws of California, United States. Any disputes will be resolved through binding arbitration in San Diego County, California, except for intellectual property matters which may be pursued in federal court.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website and take effect immediately upon posting. Continued use of services constitutes acceptance of modified Terms.
